These Merchant / Seller Terms & Conditions ("Merchant Terms") govern the relationship between Smarthub Business Solutions, operator of the LocalZE platform, and merchants, stores, businesses, or sellers ("Merchant", "you", or "your") who register to list and sell products through LocalZE.
By registering as a merchant, accepting orders through LocalZE, listing products, or otherwise using LocalZE merchant services, you agree to these Merchant Terms.
LocalZE provides technology and marketplace services that enable merchants in Hyderabad to display products and receive orders from customers.
Unless otherwise agreed in writing, Smarthub Business Solutions does not purchase the merchant's inventory and does not become the owner of the products merely because those products are listed on LocalZE.
The merchant remains responsible for its products, inventory, pricing, legal compliance, and fulfillment obligations.
To register on LocalZE, a merchant must provide accurate and complete business information requested by Smarthub Business Solutions.
Depending on the nature of the business and products offered, Smarthub Business Solutions may request documents or information such as:
Smarthub Business Solutions may refuse or delay merchant onboarding where required information is incomplete, inaccurate, unverifiable, or legally insufficient.
The merchant is responsible for maintaining the confidentiality of its LocalZE merchant account credentials.
The merchant must immediately notify Smarthub Business Solutions if it suspects unauthorized access to its account.
Merchants must not share their account credentials with unauthorized individuals or allow unauthorized persons to operate their LocalZE account.
Merchants are responsible for ensuring that product listings submitted to LocalZE are accurate and complete.
Listings should accurately describe:
Merchants must not upload misleading, fraudulent, deceptive, or materially inaccurate product information.
Merchants are solely responsible for ensuring that products offered through LocalZE comply with all laws and regulations applicable to their business and products.
Merchants must maintain all licenses, permits, registrations, certifications, and approvals required to sell their products.
Merchants must not list prohibited or unlawful products through LocalZE.
Where a product category is subject to additional legal or regulatory requirements, the merchant is responsible for satisfying those requirements.
Merchants are responsible for providing accurate product prices through LocalZE.
Merchants must ensure that applicable taxes and legally required charges are properly accounted for.
Smarthub Business Solutions may require merchants to correct pricing information that is clearly incorrect or misleading.
Merchants must make reasonable efforts to keep product availability information accurate.
If a product becomes unavailable, the merchant should update its LocalZE inventory promptly.
Repeated acceptance of orders for unavailable products may result in warnings, restrictions, suspension, or termination of the merchant account.
Once an order is accepted, the merchant is responsible for preparing the order accurately and within the applicable preparation timeframe.
Merchants must provide the products ordered by the customer and must not substitute products without appropriate authorization.
Products must be appropriately packaged for the nature of the product and applicable delivery requirements.
Merchants are responsible for the quality, authenticity, safety, condition, packaging, and legality of products they sell through LocalZE, subject to applicable law.
Merchants must not knowingly supply counterfeit, expired, damaged, adulterated, unsafe, or unlawfully sourced products.
Depending on the LocalZE service arrangement, delivery may be performed by the merchant, Smarthub Business Solutions, or an independent delivery partner.
Merchants must make orders available for pickup or delivery within the applicable preparation period.
Merchants must securely package products and provide accurate order information to the applicable delivery personnel.
Merchants should accept orders only when they reasonably expect to fulfill them.
Merchants should not cancel confirmed orders without a legitimate reason.
Repeated cancellations, unreasonable rejection of orders, or failure to fulfill accepted orders may result in account restrictions or other action under these Terms.
Merchants agree to cooperate with LocalZE in handling customer complaints, returns, refunds, replacements, and other order-related issues.
Where the issue is attributable to the merchant's product, preparation, packaging, listing, or fulfillment, the merchant may be responsible for the applicable resolution, subject to applicable law and the commercial arrangement between the merchant and Smarthub Business Solutions.
Smarthub Business Solutions may request evidence, photographs, order records, or other information when investigating a customer complaint.
Merchants may be charged commissions, subscription fees, service fees, promotional fees, delivery-related charges, or other applicable charges according to the commercial terms agreed between the merchant and Smart Business.
Applicable fees may be communicated during onboarding, through the merchant dashboard, through a separate commercial agreement, or through another authorized communication.
Smarthub Business Solutions may change applicable commercial fees with reasonable notice, subject to the terms of any separate written agreement with the merchant.
Amounts payable to merchants may be settled after deduction of applicable commissions, fees, refunds, adjustments, taxes, chargebacks, or other applicable amounts.
Settlement timelines may depend on order completion, payment confirmation, refund periods, banking processes, and other applicable conditions.
Merchants are responsible for providing accurate bank account information for settlement purposes.
Each merchant is responsible for its own tax obligations arising from its business and sales through LocalZE, subject to applicable law.
Merchants must provide accurate tax information and applicable tax registration details when requested.
Merchants may receive customer information necessary to fulfill an order, such as customer name, delivery address, phone number, order details, or other relevant information.
Merchants must use customer information only for legitimate order fulfillment, delivery, customer support, and other purposes authorized by LocalZE and applicable law.
Merchants must not sell, rent, misuse, independently market to, or disclose customer information without appropriate authorization.
Merchants must take reasonable measures to protect customer and LocalZE information against unauthorized access, disclosure, loss, or misuse.
Merchants must promptly notify Smarthub Business Solutions of any suspected security incident involving LocalZE customer information.
Merchants retain ownership of intellectual property they lawfully provide to LocalZE, subject to the rights granted below.
By submitting product names, photographs, descriptions, logos, or other content to LocalZE, the merchant grants Smarthub Business Solutions a non-exclusive, royalty-free license to use, reproduce, display, modify where necessary for formatting, and distribute that content for operating and promoting LocalZE.
The merchant represents that it has the necessary rights to provide such content to LocalZE.
Smarthub Business Solutions may offer promotional campaigns, discounts, coupons, or other marketing programs involving merchant products.
Merchant participation in promotions may be subject to separate commercial terms communicated before participation.
Merchants must not:
Smarthub Business Solutions may temporarily restrict or suspend a merchant account where reasonably necessary to investigate suspected fraud, legal violations, customer safety concerns, repeated fulfillment problems, or other serious issues.
Where reasonably practicable, Smarthub Business Solutions may provide the merchant with an opportunity to address the issue.
Either party may terminate the merchant relationship subject to any applicable commercial agreement.
Smarthub Business Solutions may terminate or suspend access immediately where permitted by law in cases involving fraud, unlawful conduct, serious customer safety concerns, misuse of customer information, or material violation of these Terms.
To the extent permitted by applicable law, the merchant agrees to indemnify and hold harmless Smarthub Business Solutions, LocalZE, and their respective personnel and service providers against claims, losses, damages, costs, and expenses arising from:
To the maximum extent permitted by applicable law, Smarthub Business Solutions will not be liable for indirect, incidental, special, or consequential losses arising from the merchant's use of LocalZE.
Nothing in these Terms excludes liability that cannot legally be excluded or limited under applicable law.
These Merchant Terms shall be governed by the applicable laws of India.
Subject to applicable law and any separate written agreement, disputes relating to these Merchant Terms shall be subject to the jurisdiction of courts having appropriate jurisdiction in Hyderabad, Telangana.
Smarthub Business Solutions may update these Merchant Terms from time to time.
Updated terms will become effective when communicated to merchants or published through the applicable merchant Platform, unless a different effective date is specified.
